Los Angeles, California, July 11, 2021 (Universal News Service)–CurrencyWorks Inc. (“CurrencyWorks” or “Company”), (CSE:CWRK, OTCQB:CWRK), a blockchain pioneer, NFT and digital payment provider, today announced that it has signed a securities purchase agreement with institutional investors to purchase 4,687,500 ordinary shares and warrants, and 4,687,500 ordinary shares are purchased by registered direct issuance. The purchase price of one common share and the price of a warrant to purchase one common share are US$0.80. The exercise price of the warrants is $1.00 per share, which can be exercised immediately and expires in five years from the date of issuance. The issuance is expected to be completed on or about July 14, 2021, subject to customary closing conditions.

HC Wainwright & Co. acted as the exclusive placement agent for this offering.

Before deducting the placement agency fees and issuance fees, the total proceeds of the issuance are estimated to be US$3.75 million. The company intends to use the net proceeds from the offering for general corporate or working capital purposes.
