On May 19, 2021, the Annual General Meeting of Shareholders («CFT») held at Compagnie Financière Tradition SA in Lausanne approved the board’s recommendation to distribute dividends (dividends) in the form of cash dividends and treasury shares held by CFT.
Dividends include 5.00 Swiss francs per CFT holder’s share (cash dividend) paid in cash, with a face value of 2.50 Swiss francs (holder’s share) and 75 unregistered shares held by each holder’s share for each distribution. It is deducted from the statutory reserve for capital contributions (“stock dividends”).

Shareholder procedures
For escrow account holders: There is no need for shareholders to take any action. The custodian bank will automatically handle the payment of dividends (cash dividends and stock dividends).
For stock holders: Shareholders who keep bearer shares at home are required to submit coupons numbered. On the 26th, it demanded cash dividends from its bank. In order to obtain stock dividends, these shareholders are required to deposit their bearer shares in an escrow account before the annual general meeting. If they fail to do so, they will receive a cash payment equal to one-seventh of the reference stock price for each coupon. 26 Submit to their bank.
Taxes
Cash dividends (the total taxable amount per bearer share is CHF 5.00) shall be subject to income tax for shareholders with a residence in Switzerland and a federal withholding tax of 35%. CFT will transfer the withholding tax on cash dividends to the Federal Revenue Service.
For stock dividends (including those paid in cash), the total taxable amount per bearer share is 1.53 Swiss francs (reference stock price divided by 75) without paying Swiss business tax and federal withholding tax.
For shareholders residing in Switzerland who hold bearer shares held in Switzerland as private assets, stock dividends are not subject to income tax. For shareholders who settle in Switzerland and hold bearer stocks as corporate assets, stock dividends are subject to income tax.
Shareholders residing outside Switzerland will be taxed in accordance with the applicable laws of their respective countries/regions and may claim federal withholding tax under any applicable double taxation agreement.
