Canoo Holdings Ltd. (“Canoo Holdings”) is an electric vehicle (“EV”) company that touts a “unique business model that ignores traditional ownership and puts customers first.” It announced a delivery vehicle (to be launched in 2022), pickup truck (to be launched in 2023) and vans, all of which are built on the same basic technology platform. Hennessy Capital Corporation is a special purpose acquisition company that was established for mergers, capital stock exchanges, asset acquisitions, stock purchases, reorganizations or similar business combinations. Around December 21, 2020, Canoo Holdings became a public entity through the merger with Hennessy Capital, and the surviving entity was named Canoo (the “merger”).
