CB Richard Ellis acquired the holding company (NYSE stock code:CBAH) (“CBAH”), a publicly traded special purpose acquisition company, today announced that its shareholders have voted to approve the previously announced business merger with Altus Power, Inc. (“Altus Power”), as well as the proposed CBAH special meeting All other proposals for the shareholders meeting (“Special Meeting”) to be held on December 6, 2021.

At the special meeting, about 90.3% of the business merger proposals approved the approval of the merger proposal, of which 60.4% of the CBAH common stock is not directly or indirectly owned by CBRE Group, Inc. , Any of its affiliates or any executive officer of CBAH. CBAH plans to submit the results of the special meeting to the US Securities and Exchange Commission on a form 8-K today.

The business combination is expected to be completed on December 9, 2021. After completion, the combined Altus Power’s Class A stocks and warrants are expected to begin trading on the New York Stock Exchange under the codes “AMPS” and “AMPS WS”, respectively, on December 10, 2021. In addition, at the end of the business combination, each CBAH unit will be split into its constituent parts, namely one CBAH Class A share and one quarter of the warrants. Holders of CBAH Class A stocks and warrants will receive securities equivalent to AMPS and AMPS WS (if applicable) in the combined Altus Power.

As mentioned earlier, the deadline for shareholders to withdraw redemption requests has been extended to 4:00 p.m. (New York City time) on December 8, 2021.
